Governance Director

About the role

Join a leading, well‑established energy organization in Riyadh and play a pivotal role in strengthening corporate governance, compliance and accountability across the entire business.

Key responsibilities

• Lead the design, implementation and continuous improvement of the corporate governance framework.
• Maintain the Delegation of Authority and authority matrix in line with business objectives, regulatory requirements and best practices.
• Advise and support the Board and its committees on governance, compliance and fiduciary matters.
• Develop, communicate and maintain governance policies and procedures throughout the organisation.
• Review and enhance internal policies, manuals, charters and processes to ensure alignment with governance standards and constitutional documents.
• Promote a culture of transparency, accountability, risk awareness and ethical business conduct.

Required profile

• Saudi national with 13+ years of experience in corporate governance, board affairs, compliance or company secretarial functions.
• Proven experience in a large energy, oil & gas or power business operating in KSA.
• Strong understanding of governance frameworks, regulatory compliance and risk‑management principles.
• Bachelor’s degree in Law or a related field; a Master’s degree is a plus.
• Professional certifications such as CCEP, GRC Professional Certification or CISA are beneficial.
