Senior Legal Counsel – Capital Markets & Cross‑Border Transactions

About the role

The Senior Legal Counsel for Capital Markets & Cross‑Border Transactions will provide strategic legal guidance on complex financial instruments, securities offerings, M&A, and international joint ventures. The role supports senior executives and business units, leads a legal team, and ensures compliance with global regulations.

Key responsibilities

• Lead and advise on capital markets transactions, ensuring regulatory compliance.
• Draft, negotiate and finalize offering memoranda, underwriting agreements, and international collaboration agreements.
• Conduct comprehensive legal research and risk analysis for cross‑border transactions.
• Align legal strategy with corporate objectives and risk appetite in collaboration with senior management.
• Manage, mentor and develop a team of legal professionals, promoting efficiency and quality.
• Oversee risk assessment and mitigation strategies in capital markets.
• Stay abreast of digital transformation and emerging technologies affecting legal practice.

Required profile

• Juris Doctor (JD) or equivalent qualification from an accredited institution.
• Minimum 15 years of legal experience focused on capital markets and cross‑border transactions.
• Proven track record of leading IPOs, refinancings and complex capital market deals.
• Deep knowledge of international law, regulatory frameworks and compliance standards.
• Demonstrated negotiation expertise and dispute resolution experience.
• Experience managing legal teams and providing mentorship.
• Strong analytical ability to interpret statutes, regulations and judicial opinions.
• Excellent written and verbal communication for diverse stakeholders.
• Proficiency with legal research tools and technologies.
• Familiarity with digital transformation in legal practice.
