Senior Associate – Corporate Law

About the role

Clyde & Co is seeking a Senior Associate to join its regional Corporate team in Cairo. The role will support a broad range of corporate matters across the GCC and the wider Middle East, working closely with partners, senior associates and clients.

Key responsibilities

• Advise clients on mergers and acquisitions, joint ventures and equity investments.
• Prepare and negotiate transaction documents such as share/asset purchase agreements, joint venture agreements and ancillary corporate paperwork.
• Conduct due diligence and draft comprehensive due diligence reports.
• Provide legal opinions and advice on commercial, employment, corporate restructuring and capital markets matters.
• Manage corporate processes including mergers, splits, capital changes, company formation, transformation and liquidation under Egyptian law.
• Project‑manage service delivery, ensure compliance with firm methodologies and budgets, and maintain strong client relationships.
• Identify business‑development opportunities and contribute to firm publications.

Required profile

• Strong corporate background from a large international or regional top‑tier law firm.
• Broad experience in M&A, joint ventures, international commercial, employment and corporate restructuring.
• Proven ability to work independently, manage a caseload and support senior team members.
• Excellent client‑facing and business‑development skills.
• Effective communication, decision‑making and problem‑solving abilities.
