VP of Legal Affairs & Board Secretary

About the role

The Vice President of Legal Affairs & Board Secretary will lead the legal function of a fast‑growing financial services organisation operating in a highly regulated environment. Reporting directly to the CEO, this senior leader will shape corporate, regulatory and governance strategy while ensuring compliance with Saudi Central Bank (SAMA) requirements.

Key responsibilities

• Lead the Legal Affairs function, providing strategic advice on corporate, regulatory and governance matters.
• Act as Board Secretary, preparing agendas, minutes, resolutions and governance documentation for Board and Committee meetings.
• Partner with the CEO, Board of Directors and senior executives on governance, compliance and corporate strategy initiatives.
• Design and implement governance frameworks, including new Board and Executive Committees, committee charters, mandates and operating models.
• Ensure ongoing compliance with regulatory expectations and corporate governance standards.
• Establish and evolve governance structures such as the Risk & Credit Committee and Executive Committee.

Required profile

• Significant senior‑level experience in Legal Affairs, Corporate Governance and Board Secretariat functions.
• Proven background within fintech, banking, financing or other regulated financial services organisations.
• Demonstrated experience supporting Boards and Board Committees (Audit, Nomination & Remuneration, etc.).
• Strong understanding of Saudi Central Bank (SAMA) governance and regulatory requirements.
• Exceptional written and verbal English communication skills with executive presence.
