Associate – Equity & Debt Capital Markets

About the role

TwoAtoms Capital is seeking an Associate to work on live equity and debt capital markets mandates from start to finish. The role involves end‑to‑end execution, including pre‑mandate positioning, documentation, regulatory submission, marketing, pricing and closing.

Key responsibilities

• Build and maintain valuation models (DCF, comparable companies, precedent transactions) and perform pricing analysis for IPOs, rights issues, private placements and direct listings.
• Draft prospectuses, Nomu registration documents and CMA/Tadawul submissions; respond to regulator comments.
• Support structuring of sukuk and conventional debt, including sizing, tenor, profit rate, covenant analysis and debt‑capacity modelling.
• Prepare offering circulars, investor packs, rating agency materials and Sharia‑board documentation.
• Manage information request lists, data rooms and diligence workstreams; coordinate with legal counsel, auditors and accountants.
• Prepare pitch materials, teasers, information memoranda and internal committee papers.
• Act as the day‑to‑day point of contact for clients throughout the process.

Required profile

• Bachelor's degree in Finance, Accounting, Economics or a quantitative discipline with a strong academic record.
• 3–5 years of experience in investment banking, capital markets or transaction advisory, with involvement in at least one completed ECM or DCM transaction.
• CME‑1 certification required; CME‑5 and CFA are advantageous.
• Full professional fluency in Arabic and English, including bilingual drafting.
• Saudi nationals preferred; transferable iqama considered for candidates already in the Kingdom.

Required skills

• Strong financial modelling ability built from first principles.
• Working knowledge of CMA Rules on the Offer of Securities, Nomu listing rules and Tadawul processes.
• Experience with valuation techniques such as DCF, comparable company and precedent transaction analysis.
