Director, Legal & Governance

About the role

The company is seeking a senior individual contributor to lead the corporate legal and governance agenda across a major Saudi infrastructure and logistics group. Reporting directly to the CFO, the role provides strategic legal counsel at Board level without managing a department.

Key responsibilities

• Design, implement and maintain a group‑wide corporate governance framework aligned with Saudi regulations and international best practice.
• Develop and oversee board and committee charters, delegations of authority, governance policies, and corporate authorities for subsidiaries and joint ventures.
• Provide strategic legal advice on corporate structuring, shareholder arrangements, joint ventures, concessions and subsidiary entities.
• Lead legal workstreams for M&A, investments, business development and international expansion, coordinating internal and external advisors.
• Ensure statutory compliance, corporate filings, regulatory submissions and maintenance of key corporate records.
• Serve as trusted counsel to the CFO, CEO and Board on legal, governance and regulatory matters, escalating material risks as needed.
• Partner with the Board Secretary on board and committee cycles, supporting documentation and resolutions.

Required profile

• Bachelor’s degree in Law from a recognised university; professional legal qualification preferred.
• 12+ years of corporate legal and governance experience, including senior roles in complex infrastructure, logistics or multinational organisations.
• Proven experience building and operating corporate governance frameworks, board and committee governance, and delegations of authority.
• Strong knowledge of Saudi corporate, commercial and regulatory requirements; cross‑border experience a plus.
• Track record of advising Boards, CEOs and CFOs and translating complex legal issues into clear commercial recommendations.
