Governance, Risk & Compliance Director

About the role

The Governance, Risk & Compliance (GRC) Director will lead ARO Drilling’s governance, enterprise risk management and compliance programmes. Reporting administratively to the CEO and functionally to the Board Audit & Compliance Committee, the Director ensures the company meets all legal, regulatory and internal policy obligations while safeguarding its strategic objectives.

Key responsibilities

• Establish and maintain a robust governance framework aligned with corporate goals.
• Act as Secretary to the Board and its committees, preparing minutes, circulating materials and maintaining official records.
• Oversee the Enterprise Risk Management (ERM) framework, facilitating risk identification, assessment and mitigation across the organisation.
• Lead the compliance function, developing, reviewing and communicating policies and procedures.
• Provide oversight of the Information Security function through the CISO, ensuring effective cybersecurity governance.
• Coordinate with senior management to deliver timely board presentations, reports and supporting documentation.
• Maintain accurate, secure documentation of all governance activities, resolutions and decisions.
• Report regularly to the CEO on governance matters and updates.

Required profile

• Minimum 15 years (180 months) of experience in governance, risk management or compliance roles, preferably at senior leadership level.
• Proven ability to interact with boards, audit committees and senior executives.
• Strong knowledge of applicable laws, regulations and industry standards in the energy sector.
• Demonstrated experience managing cross‑functional teams and complex projects.
