Legal Counsel & Board Secretary (Bilingual)

About the role

We are seeking a responsible, reliable and bilingual Legal Counsel and Board Secretary to provide strategic legal advice and support while managing the governance and secretarial duties of the Board of Directors. The role focuses on regulatory compliance, contract negotiation, risk management and corporate governance within the financial sector.

Key responsibilities

• Provide practical legal advice on regulatory compliance, corporate governance, contract interpretation and risk management.
• Draft, review and negotiate a variety of agreements including licensing, technology and vendor contracts.
• Identify legal risks arising from business activities and recommend mitigation measures.
• Coordinate with external counsel and maintain organized legal records and corporate documents.
• Conduct legal research and deliver clear, actionable advice to support decision‑making.
• Train employees on legal and compliance matters and promote an ethical culture.
• Plan and administer Board meetings, prepare agendas, working papers and comprehensive minutes.
• Ensure Board documentation complies with applicable laws, regulations and internal policies.

Required profile

• Proven experience as a legal counsel or similar role, preferably within the financial industry.
• Strong knowledge of regulatory frameworks, corporate governance and contract law.
• Bilingual proficiency (English and another language) with excellent written and verbal communication skills.
• Highly organized, detail‑oriented and able to manage multiple priorities.
