Legal Counsel – Contracts & Compliance

About the role

The Legal Counsel will provide comprehensive legal support to Alnafitha IT, focusing on commercial contracts, regulatory compliance, corporate governance, employment matters, and dispute management. The role safeguards the company’s legal interests, identifies and mitigates risks, and ensures business operations align with Saudi Arabian laws.

Key responsibilities

• Advise senior management and business units on a wide range of legal and commercial issues.
• Draft, review, negotiate and advise on commercial agreements such as customer, supplier, partnership, distribution, service, NDA and SLA contracts.
• Identify, assess and mitigate legal, regulatory and contractual risks, ensuring compliance with Companies Law, Labor Law, Civil Transactions Law and Government Tenders and Procurement Law.
• Maintain a contracts register, monitor renewal and expiry dates, and track key contractual milestones.
• Review employment contracts, HR policies and provide support on labor disputes, including preparation of legal responses.
• Represent the company before courts, government authorities or supervise external counsel where permitted.
• Prepare and review corporate governance documents, including board resolutions and General Assembly minutes.
• Monitor changes in Saudi legislation, communicate updates to relevant departments and recommend appropriate actions.

Required profile

• Bachelor’s degree in Law or Sharia and Law from a recognized university.
• 3–5 years of relevant legal experience, preferably in a corporate, commercial or IT environment.
• Strong experience in commercial contract drafting, review and negotiation.
• Practical knowledge of Saudi Companies Law, Labor Law, Civil Transactions Law and Government Tenders and Procurement Law.
• Experience handling litigation, labor cases and dispute resolution is preferred.
• Saudi Ministry of Justice legal practice license is an advantage.
• Fluent in Arabic and English with the ability to draft and negotiate documents in both languages.
• Excellent analytical, negotiation and problem‑solving skills with high attention to detail.
