Governance Manager – Corporate Governance & Compliance

About the role

The Governance Manager will lead the development and maintenance of the company’s corporate governance framework, ensuring transparency, accountability and compliance with all applicable laws and regulations. This role partners with the Board, senior management and external advisors to embed best‑practice governance across the organization.

Key responsibilities

• Develop and implement internal policies and procedures that support effective corporate governance.
• Review and regularly update governance policies to align with legal, regulatory and industry changes.
• Identify and mitigate governance‑related risks, including conflicts of interest and ethical concerns.
• Recommend enhancements to the governance framework to improve overall performance.
• Ensure decision‑making processes are transparent, documented and traceable.
• Establish a clear accountability framework for Board members and employees.
• Measure governance effectiveness through key performance indicators and periodic reporting to the Board.
• Build and maintain relationships with external advisors, regulators and stakeholders.
• Coordinate with internal audit to review compliance with approved policies.
• Monitor emerging governance standards and implement relevant best practices.
• Promote governance awareness among employees and management.
• Lead, motivate and develop the governance team, providing training and development programs.

Required profile

• Proven experience in corporate governance, compliance or related fields.
• Strong knowledge of governance standards, regulatory requirements and risk management.
• Ability to work effectively with Board members and senior leadership.
• Excellent analytical, reporting and communication skills.
• Demonstrated leadership and team‑development capabilities.
• Commitment to high ethical standards and continuous improvement.

Required skills

• Familiarity with regulatory compliance processes.
