Corporate Legal Counsel (Transactions) - Holding Company

About the role

We are looking for a Corporate Legal Counsel to lead transaction work for a diversified family group active in real estate, joint ventures, F&B and international holdings. The role will manage deals from term sheet through signing and completion, acting as the Group’s primary deal‑execution engine.

Key responsibilities

• Draft and negotiate transaction documents including joint venture, shareholders, share purchase, development, services, franchise and commercial lease agreements, as well as NDAs and term sheets.
• Run end‑to‑end deal execution: prepare checklists, manage conditions precedent, obtain approvals, coordinate signing and completion across jurisdictions.
• Maintain negotiation tools such as issue lists, matrices, change logs and clause‑by‑clause comparisons to ensure consistency.
• Handle corporate actions like capital increases, share swaps, entity formations, constitutional documents and Ministry of Commerce filings.
• Lead due‑diligence processes for counterparties and respond to DD requests on the Group, covering title, corporate and regulatory verification.
• Produce and review bilingual Arabic/English documents, ensuring accuracy and prevailing‑language discipline.
• Identify related‑party, approval and regulatory triggers early and route them for sign‑off.
• Supervise and develop the Junior Legal Counsel on transaction support.

Required profile

• 5–8 years of experience with strong law‑firm training (international or leading regional practice).
• Proven transactional record in Saudi Arabia covering Companies Law, real‑estate and development agreements, and commercial/franchise work; GCC exposure is a plus.
• Excellent bilingual Arabic/English drafting ability, capable of preparing agreements in either language.
