Corporate Secretary Lead Officer

About the role

The Corporate Secretary Lead Officer provides high‑level executive secretarial support and ensures effective governance for the Board of Directors and its committees. Based in Riyadh, this role acts as the central liaison between shareholders, the board, senior management and external advisors.

Key responsibilities

• Organise, prepare agendas and take minutes for Board, Committee and Annual General Meetings.
• Distribute annual financial statements, manage shareholder communications and dividend payments.
• Monitor legislative and regulatory changes, ensuring compliance with the Companies Act and other statutes.
• Provide governance advice to the Board, committees and CEO, and draft resolutions for meetings.
• Maintain corporate registers, share register, and ensure accurate record‑keeping of directors and council members.
• Liaise with external regulators, lawyers and auditors as required.
• Coordinate preparation and timely dissemination of board reports and presentation materials.
• Oversee implementation of corporate policies, recommend improvements and support strategic objectives.
• Ensure proper induction and training for newly appointed directors and council members.

Required profile

• Proven experience in corporate secretarial or board administration functions.
• Strong knowledge of Saudi corporate law, governance codes and regulatory requirements.
• Excellent organizational, communication and analytical abilities.
• Ability to handle confidential information with discretion.
