Governance Specialist (Saudi Arabia)

About the role

We are looking for a Saudi Governance Specialist to support our corporate governance framework, Board of Directors, and compliance with Capital Market Authority (CMA) regulations. The role will ensure effective governance practices, regulatory compliance, and smooth Board administration while coordinating with internal stakeholders.

Key responsibilities

• Prepare, draft, review and coordinate submission of CMA disclosure forms, regulatory announcements and ongoing disclosure obligations in line with CMA and Tadawul requirements.
• Support implementation and continuous improvement of the Company’s Corporate Governance Framework, policies and governance practices.
• Coordinate Board and Committee meetings, including agendas, minutes and resolutions.
• Maintain governance policies, Board charters, Delegation of Authority and related documentation.
• Monitor compliance with Corporate Governance Regulations, Companies Law, CMA requirements and Tadawul Listing Rules.
• Track Board resolutions and governance action plans.
• Collaborate with Internal Audit, Risk, Compliance and Legal departments on governance initiatives.
• Prepare governance reports, Board reports and dashboards for management and the Board.
• Ensure confidentiality and proper handling of sensitive corporate information.

Required profile

• Bachelor’s degree in Business Administration, Law, Governance, Finance or a related field.
• 2–4 years of experience in Corporate Governance, Board Secretariat, Compliance or Legal Affairs.
• Previous experience in a listed company on Tadawul (TASI or Nomo) is required.
• Strong knowledge of CMA Corporate Governance Regulations, Companies Law and Tadawul Listing Rules.
• Excellent communication, documentation and stakeholder management skills.
• CME certification preferred; IFSAH certificate required; professional certification in Corporate Governance or Compliance is an advantage.

Required skills

• Knowledge of CMA Corporate Governance Regulations.
• Understanding of Saudi Companies Law.
• Familiarity with Tadawul Listing Rules and regulatory disclosure requirements.
