Associate – Corporate & M&A

About the role

We are looking for an experienced Associate specializing in Corporate and M&A to join a leading organisation in Riyadh. The role involves handling a wide range of corporate transactions, from mergers and acquisitions to IPOs and regulatory compliance.

Key responsibilities

• Lead legal due diligence for M&A, IPOs, market transfers, corporate restructurings and investment transactions.
• Draft, review and negotiate SPAs, SHAs, JVAs, asset transfer agreements and commercial contracts.
• Support IPO and capital markets transactions, including prospectus preparation and regulatory filings.
• Advise on Saudi Companies Law, Investment Law, corporate governance and related regulatory requirements.
• Manage company incorporations, restructurings, foreign investment licences, commercial registrations and regulatory filings.
• Prepare and review articles of association, shareholder resolutions, employment contracts and other corporate documentation.

Required profile

• Qualified lawyer with 4–5 years of experience in corporate and commercial legal matters.
• Strong background in M&A, corporate transactions, legal due diligence and corporate structuring.
• Proven experience supporting IPOs, capital markets and investment transactions.
• In‑depth knowledge of Saudi Companies Law, Investment Law and related regulatory frameworks.

Required skills

• Excellent drafting and negotiation skills for complex corporate and commercial agreements.
• Proficiency in legal research and analysis.
• Strong stakeholder management and communication abilities in English.
