Corporate Governance Manager

About the role

The Corporate Governance Manager leads the design, implementation and continuous improvement of the organization’s governance framework. This role ensures that governance structures, policies and practices meet legal, regulatory and internal standards while promoting transparency and ethical conduct.

Key responsibilities

• Develop, implement and continuously enhance the corporate governance framework, structures, policies and processes.
• Align governance practices with corporate principles, regulatory requirements and industry best practices.
• Integrate governance standards across all departments to ensure consistent application.
• Monitor compliance with laws, regulations and internal policies, identifying and addressing gaps.
• Support the Board of Directors and its committees with governance activities and informed decision‑making.
• Report on governance compliance to senior management and the Board, providing recommendations.
• Identify, assess and manage governance‑related risks, establishing controls and mitigation plans.
• Oversee ethics and integrity programmes to ensure adherence to the Code of Conduct.
• Conduct governance reviews, assessments and audits, implementing corrective actions as needed.

Required profile

• Bachelor’s degree in a relevant field; advanced degree or governance certification preferred.
• Proven experience in corporate governance, compliance or a related discipline.
• Strong understanding of governance principles, regulatory requirements and best practices.
• Excellent communication, leadership and decision‑making abilities.
• Ability to collaborate with senior management, governance bodies and cross‑functional teams.
• Analytical mindset with capacity to identify and address governance risks.
• Experience developing and implementing governance frameworks and policies.
• Knowledge of ethics programmes and governance controls.
