About the role
The Vice President of Legal Affairs & Board Secretary will lead the legal function for a fast‑growing financial services organisation in Saudi Arabia. Reporting directly to the CEO, the role combines strategic legal counsel with full board secretariat responsibilities, ensuring robust governance and regulatory compliance.
Key responsibilities
- Provide strategic legal advice on corporate, regulatory and governance matters across the organisation.
- Act as Board Secretary, preparing agendas, minutes, resolutions and governance documentation for Board and Committee meetings.
- Partner with the CEO, Board of Directors and senior executives on compliance, risk and corporate strategy initiatives.
- Design and implement governance frameworks, including new Board and Executive Committees, charters, mandates and operating models.
- Ensure ongoing compliance with Saudi Central Bank (SAMA) regulations and other applicable legal requirements.
- Lead the establishment and evolution of governance structures such as the Risk & Credit Committee and Executive Committee.
Required profile
- Significant senior‑level experience in Legal Affairs, Corporate Governance and Board Secretariat functions.
- Proven background in fintech, banking, financing or other regulated financial services organisations.
- Demonstrated experience supporting Boards and Board Committees, including Audit and Nomination & Remuneration Committees.
- Strong understanding of SAMA governance and regulatory requirements.
- Exceptional written and verbal English communication skills with executive presence.

- Legal expertise in corporate and regulatory matters.
- Board secretariat experience, including minute‑taking and agenda preparation.
- Governance framework design and implementation.
