Corporate M&A Lawyer – Saudi Arabia

About the role

RAYNE is looking for seasoned Corporate M&A Lawyers to join its consultant team in Saudi Arabia. As a consultant, you will work directly within client organisations, acting as an extension of their in‑house legal departments and delivering high‑value transactional support.

Key responsibilities

• Advise on M&A transactions, joint ventures and corporate structuring from due diligence through post‑merger integration.
• Draft, review and negotiate complex agreements and other corporate transaction documents.
• Provide legal guidance on deal structuring, regulatory approvals and compliance with Saudi corporate law.
• Conduct legal due diligence and risk assessments for private and public company acquisitions.
• Support cross‑border transactions, ensuring compliance with international and regional regulations.

Required profile

• 5+ years post‑qualification experience (PQE) in a major international jurisdiction.
• 5+ years of M&A experience at a top‑tier international law firm or in‑house corporate/M&A function.
• Strong background in private equity, corporate transactions and due diligence.
• Proven ability to handle complex, high‑value cross‑border deals.
• Excellent drafting, negotiation and stakeholder management skills.
