Governance, Compliance & Regulatory Affairs Manager

About the role

This position leads the development and implementation of corporate governance, compliance, and regulatory affairs frameworks for a publicly listed company. You will ensure that all statutory and regulatory obligations are met while fostering a strong governance culture across the organization.

Key responsibilities

• Establish and maintain an annual governance and compliance plan, reporting on maturity indicators and control effectiveness.
• Review and update policies, processes, procedures, and compliance registers to align with CMA and other regulatory requirements.
• Monitor statutory reporting, including financial statements and Board of Directors reports to the Capital Market Authority.
• Prepare and manage company disclosures and announcements for publication on the Tadawul website.
• Maintain a comprehensive database of relevant regulations and ensure timely implementation of legislative changes.
• Design and monitor control systems, conduct periodic audits, and recommend improvements.
• Coordinate with regulatory authorities and respond to inquiries.
• Lead governance and compliance training sessions and supervise compliance officers.

Required profile

• Bachelor’s degree in Law.
• IFSAH Certificate; General Securities Qualification (CME‑1) is a plus.
• Minimum 3 years of experience in governance and compliance within publicly listed companies.
• Strong communication, report writing, and presentation abilities.
• Fluent English.
