Governance Director (Saudi Nationals Only)

About the role

We are seeking a seasoned Governance Director to lead and enhance corporate governance, compliance, and accountability across our energy, oil & gas, and power operations in Saudi Arabia. This senior position reports directly to the Board and plays a pivotal role in aligning governance structures with business objectives and regulatory requirements.

Key responsibilities

• Develop, implement, and continuously improve the corporate governance framework.
• Maintain the Delegation of Authority (DoA) and authority matrix in line with strategic goals and legal standards.
• Advise the Board and its committees on governance, compliance, and fiduciary matters.
• Create, communicate, and uphold governance policies and procedures throughout the organization.
• Review and enhance internal policies, manuals, charters, and processes to ensure alignment with governance standards.
• Foster a culture of transparency, accountability, risk awareness, and ethical conduct.

Required profile

• Saudi national.
• 13+ years of experience in corporate governance, board affairs, compliance, or company secretarial functions.
• Proven governance experience within a large energy or oil & gas organization operating in KSA.
• Strong understanding of governance frameworks, regulatory compliance, and risk management principles.
• Bachelor’s degree in Law or related field; Master’s degree is a plus.
• Professional certifications such as CCEP, GRC Professional Certification, or CISA are beneficial.
