Head of Legal & Governance, Risk & Compliance

About the role

We are seeking an experienced Head of Legal & Governance, Risk & Compliance to lead and strengthen our legal, governance, risk and compliance functions across the organization and its subsidiaries. The role reports to senior leadership and is responsible for shaping the enterprise risk framework, ensuring regulatory compliance and providing strategic legal advice.

Key responsibilities

• Lead and enhance governance, risk, compliance, and legal frameworks across the organization and its subsidiaries.
• Develop and improve policies, controls, approval matrices, charters, and internal frameworks.
• Establish and maintain the enterprise risk register and oversee mitigation actions.
• Ensure compliance with applicable laws, regulations, internal policies, and contractual obligations.
• Provide practical legal advice on commercial, operational, employment, regulatory, and corporate matters.
• Draft, review, negotiate, and advise on contracts, legal documents, claims, notices, and other sensitive matters.
• Manage external legal counsel and support disputes, investigations, settlements, and pre‑litigation matters.
• Provide legal and GRC support for strategic transactions, partnerships, restructuring, joint ventures, and investments.
• Strengthen internal controls and address governance and compliance gaps.
• Promote legal, risk, and compliance awareness across the organization.

Required profile

• Bachelor’s degree in Law or a related field; professional certifications or postgraduate qualifications are a plus.
• Significant experience in legal, governance, risk and compliance roles.
• Strong background in legal advisory, contracts, compliance, governance, and enterprise risk management.
• Demonstrated leadership, stakeholder management, negotiation and advisory skills.
• High level of integrity, confidentiality, professionalism and sound business judgment.
