Legal Counsel – Transactions (Holding Company)

About the role

We are seeking a Legal Counsel to lead transaction work for a diversified family group active in real estate, joint ventures, F&B brands and international holdings. The role will manage deals from term sheet through signing and completion, acting as the Group’s primary deal‑execution engine.

Key responsibilities

• Draft and negotiate transaction documents such as joint‑venture agreements, shareholders’ agreements, share purchase and subscription agreements, development, services and franchise agreements, commercial leases, NDAs and term sheets.
• Run deal execution: maintain checklists, manage conditions precedent, obtain approvals, coordinate signing and completion across jurisdictions.
• Prepare negotiation tools – issue lists, matrices, change logs and clause‑by‑clause comparisons – ensuring consistent positions.
• Handle corporate actions including capital increases, share swaps, entity formations, constitutional documents and Ministry of Commerce filings.
• Manage due‑diligence processes for counterparties and respond to due‑diligence requests on the Group.
• Produce and review bilingual Arabic/English documents, ensuring accuracy and consistency.
• Identify related‑party, regulatory and approval requirements early and route for sign‑off.
• Supervise and develop the Junior Legal Counsel on transaction matters.

Required profile

• 5–8 years of experience with strong law‑firm training (international or leading regional firm); in‑house experience is a plus.
• Proven transactional record in Saudi Arabia covering Companies Law, real‑estate and development agreements, and commercial/franchise work; GCC exposure valued.
• Meticulous attention to detail and ability to manage multiple live matters under deadline pressure.
