Corporate Lawyer

About the role

We are expanding our presence in Saudi Arabia and are looking for experienced corporate lawyers to join Rayne as consultants. You will work on secondments inside client organisations, acting as an extension of their in‑house legal team.

Key responsibilities

• Draft, review and negotiate corporate and commercial agreements such as shareholder, JV, SPA, distribution, supply and NDA contracts.
• Lead or support M&A transactions, including due diligence, deal structuring and post‑completion matters.
• Advise on entity setup, licensing and governance under Saudi company law.
• Guide clients on foreign investment structuring, market entry and MISA licensing.
• Liaise with regulators such as the CMA or SAMA when required.
• Manage commercial risk on contracts and support pre‑litigation strategy.
• Support board‑level governance, internal policy development and regulatory filings.
• Identify and flag legal risks early, providing commercially‑minded solutions.

Required profile

• 5+ years post‑qualification experience, with a solid grounding in Saudi corporate and commercial law.
• Experience in both private practice and in‑house roles, preferably with multinationals, joint ventures or regulated sectors.
• Fluency in English and Arabic.
• Pragmatic, adaptable and able to work independently or within a team.
• Consultant mindset focused on partnering with the business.
