Governance Director

About the role

We are seeking a senior Governance Director to lead corporate governance, compliance and accountability across our energy, oil & gas business in Riyadh. This role reports to senior leadership and works closely with the Board and its committees.

Key responsibilities

• Develop, implement and continuously improve the corporate governance framework.
• Maintain the Delegation of Authority and authority matrix in line with business objectives and regulatory requirements.
• Advise the Board and committees on governance, compliance and fiduciary matters.
• Create, communicate and uphold governance policies, procedures and manuals.
• Review and enhance internal charters, processes and documentation to ensure alignment with governance standards.
• Foster a culture of transparency, accountability, risk awareness and ethical conduct.

Required profile

• Saudi national with at least 13 years of experience in corporate governance, board affairs, compliance or company secretarial functions.
• Proven experience in a large energy, oil & gas organization operating in Saudi Arabia.
• Strong understanding of governance frameworks, regulatory compliance and risk management principles.
• Bachelor’s degree in Law or related field; Master’s degree is a plus.
